Preamble
Whereas:   The Indiana Minority Mental Health Professional Association, Inc., which functions as
the principle advisory body for the individuals/organizations on issues pertaining to mental
health.

Whereas:   The Indiana Minority Mental Health Professional Association, Inc. creates
forums/task forces to address the public policy needs pertaining to issues for minorities in the
mental health area.

Whereas:   The Indiana Minority Mental Health Professional Association, Inc. Shall have
subordinate/advisory committees.

Whereas:   The Indiana Minority Mental Health Professional Association, Inc. is established and
shall adhere to the following bylaws.

ARTICLE I     NAME

The organization shall be known as the Indiana Minority Mental Health Professional Association

ARTICLE II     PURPOSE

Eliminate disparities in mental health service delivery to minorities.

Promote positive mental health in minority community.

Disseminate accurate and appropriate information on minority mental health.

Advocate and conduct research on mental health issues negatively impacting minority
community

Monitor and give input on mental health legislation affecting minorities

Address managed care issues affecting minority mental health

ARTICLE III     MEMBERSHIP

The President, with input from the Indiana Minority Mental Health Professional Association, shall
approve the membership of interested persons.

Membership shall be open statewide.  This shall be a multidisciplinary organization covering the
entire state of Indiana.  Disciplines of psychology, social work, nursing, psychiatry, mental health
counselors, addictions counselors, pastoral counselors, and marriage and family therapists.  
Consumers and citizens are encouraged to join.

The organization is incorporated as non-profit.  There shall be one class of membership for all,
with a focus solely on minority mental health.  Dues are $20.00 per year for individuals and
$300.00 per year for an organization

ARTICLE IV     MEETINGS

There will be a maximum of six (6) meetings each year with one (1) for the specific purpose of
election of officers;

No more than two (2) additional Indiana Minority Mental Health Professional Association,
meetings may be called annually;

All meetings will be open to the public;

An agenda of the meetings will be prepared and sent to members prior to scheduled meetings;

All quorum shall consist of a seven (7) paid members of the Indiana Minority Mental Health
Professional Association.  All decisions shall be made by majority vote of those present and
voting.

Meetings shall be governed by rules and parliamentary procedures according to "Robert's Rules
of Order."

ARTICLE V     ELECTIONS

During an election of officers of the Indiana Minority Mental Health Professional Association,
each member shall be entitled to one vote for each office

ARTICLE VI    OFFICERS

Section 1-Officers:     The officers of the Indiana Minority Mental Health Professional Association
shall consist of President, Vice-President, Secretary, Treasurer, Research Chair, and
Membership Chair, who shall perform the duties usually pertaining to such offices.

Section 2-Terms of Office:     The officers shall serve a term for two years.  No officer shall serve
for more than two (2) consecutive terms in the same office.

Section 3-Vacancies:     Vacancies in any office shall be filled by the members at the next regular
meeting by election for the unexpired term. The nominating committee shall seek nominations
for the election.

Section 4-Duties of the President:     The President presides over all meetings.  The President
shall appoint all standing committees, subject to the approval of the membership, and the
chairperson(s) of all special committees, and shall be an ex-officio member of all standing and
special committees.  The President shall communicate the interests of the organization to other
mental health and  human service organizations.

Section 5-Duties of the Vice-President:     In the absence of the President, the Vice-President
shall preside at the meeting and assume the role and duties of the President.

Section 6-Duties of the Secretary:  The Secretary shall take minutes at each meeting, and is
responsible for distributing information and maintaining records

Section 7-Duties of Treasurer:  The Treasurer shall be responsible for maintaining all financial
interests of Indiana Minority Mental Health Professional Association, including membership
payments.

Section 8-Duties of Membership Chair:  Membership Chair is responsible for the recruitment of
members and for maintaining membership records.

Section 9-Duties of Research Chair:  The Research Chair is responsible for researching data,
information, tasks, related to mental health issues for minorities and for discussion of
information to membership and other interest parties (i.e. minority organizations and agencies).  

ARTICLE  VII  COMMITTEES

Indiana Minority Mental Health Professional Association may organize and include the following:

Section 1-Standing Committees

Nominating-The Chairperson shall appoint a nominating committee comprised of at least three
(3) members of the Advisory Committee.  Committee members should represent a cross
section of the membership.  The committee shall meet prior to the scheduled meeting for
election of officers and to develop a slate.  The Committee shall then submit a slate for offices of
President, Vice-President, and Secretary.  The nominating committee shall obtain prior consent
of the nominees before the presentation of the slate for the election.  The term for these offices
shall be one year.

Section 2-Other Committees

The Indiana Minority Mental Health Professional Association may create additional committees
to further the purposes of the organization.  The President shall appoint a member to chair each
such committee.  The committee chairperson may select persons to serve on the committee.  
Membership on an Advisory Committee is not a requirement for appointment to a committee.

ARTICLE VIII    DIVISION OF MENTAL HEALTH STAFF TECHNICAL ASSISTANCE

The Indiana Minority Mental Health Professional Association shall provide professional and
technical assistance to various persons, families, consumers, providers, organizations, and
concerned parties.  A designated staff member shall serve as liaison.

ARTICLE IX    AMENDMENTS

These by-laws may be amended by the Indiana Minority Mental Health Professional Association
by a majority vote of a quorum present at any regularly scheduled meeting, provided that the
proposed amendment(s) shall have been addressed at a previous meeting.
